Dominique Mannella is a member of our Business Law Group, and his practice focuses on initial public offerings, mergers and acquisitions, corporate law, financing, corporate governance, and securities.
Dominique assists and acts on behalf of clients on public and private offerings, reverse takeovers, qualifying transactions, plans of arrangement, purchases and sales of both shares and assets, and stock market listings. He also provides advice to players in the financial sector on the application of securities and corporate governance regulations. He often assists public companies in maintaining their reporting issuer status.
Before joining BCF, Dominique spent several years as Listings Manager, in the Listings & Regulation Department at the Canadian Securities Exchange (CSE) in Toronto. As such, he reviewed and analyzed many listing applications and proposed transactions from listed companies. Among other things, he was involved in bringing awareness of the advantages of listing companies on the CSE in Québec with institutional investors such as the Caisse de dépôt et placement du Québec (CDPQ), SIDEX, the FTQ (Fonds de Solidarité), the investment dealer community, issuers, and other business initiatives. Dominique also worked for a Toronto law firm in business law and, more specifically, in the capital markets and securities group.

- Acted as the lead counsel on behalf of Analytix Insight Inc, a company listed on the TSX-V recognized in the technology industry, in the context of an important RTO transaction on the TSX-V with a private company fully integrated security token platform for the capital markets industry;
- Acted on behalf of a lithium, tantalum and cesium focused Canadian exploration company listed on the CSE in connection with its RTO transaction with Cashbox Ventures Ltd. on the CSE, May 2023;
- Acted on behalf of a TSX-V gold issuer based in Ontario, in connection with the completion of a non- brokered private placement for aggregate gross proceeds of $3 million - March 2023;
- Acted on behalf of a CSE psychedelic issuer based in Toronto, in connection with a proposed plan of arrangement in British Columbia of all the issued and outstanding common shares with an ethnobotanical drug discovery/development company listed on the CSE;
- Acted on behalf of a CSE AI technology issuer based in Ontario, in its $4 million acquisition of 16,000,000 issued and outstanding common shares of another AI technology pursuant to a plan of arrangement in British Columbia - June 2023;
- Acted on behalf of a CSE AI technology issuer based in Ontario, in an overnight marketed short form prospectus for gross proceeds of $3 million - January 2023;
- Acted on behalf of a CSE mineral exploration issuer based in Toronto, in connection with its acquisition of Ontario Gold Assets, South Timmins Joint Venture with a TSX-V mining issuer based in Quebec and a $2.7 million equity financing - March 2023;
- Acted on behalf of major players such as CSE-listed issuers E-Power Resources Inc. and Leopard Lake Gold Corp. in their day-to-day financing, corporate governance and commercial transaction needs;
- Acted on behalf of Quebec Precious Metals Corp. listed on the TSX-V, in the context of a plan of arrangement with Fury Gold Mines Ltd. on the TSX;
- Acted on behalf of Margaux Real Estate Investment Trust, a company specialized in the storage facilities, in the context of a plan of arrangement with Odessa Capital Ltd., a Capital pool company listed on the TSX-V;
- Acted on behalf of E-Power Resources Inc,, a company listed on the CSE, in its defense against certain dissenting shareholders at a 2024 annual and special meeting;
- Acted as legal counsel to issuers listed on the TSX-V and the CSE across various sectors in connection with financings, business combinations, and stock exchange listings.
