Nicolas St-Sauveur practices mainly in the area of business, commercial and corporate law technologies. A member of the Business and Technology and Mergers & Acquisitions strategic teams, he regularly takes part in transactions involving the sale or acquisition of businesses, where he contributes his expertise in technology law and the right to data protection and privacy. He also specializes in drafting agreements between shareholders or partners, as well as different types of business contracts (distribution, services, sales, etc.).

He accompanies numerous technology companies in their expansion, negotiating and implementing various commercial contracts related to intellectual property, such as distribution contracts and software licenses. He also guides these companies through their legal issues regarding data protection and privacy.

In addition to his law degree, with honors, on the Faculty's Honor Roll, Mr. St-Sauveur holds a bachelor's degree in microbiology. This combination of skills gives him an excellent understanding of scientific files.

Mr. St-Sauveur is also part of BCF’s Web Strategy Team, which provides our clients with relevant legal advice and services about their online presence. This constantly evolving environment requires the expertise of a multidisciplinary team such as BCF.

Representative work

  • Accompanied technology companies in the implementation of their processes with regard to their compliance with the General Data Protection Regulation (GDPR).

  • Member of the team that represented the Cantin family in the sale of a majority holding of Stove Builder International Inc. (SBI) to Empire Group.

  • The negotiation and setting up of distribution contracts and software license agreements for a company specializing in the field of industrial automation.

  • A member of the team who represented the selling shareholders in the context of the sale of a controlling interest in CorActive High-Tech Inc. to Han’s Laser Technology Industry Group Co. Ltd.

  • Member of the team that represented the Colpron-Fiset family in connection with the sale of a majority stake of Première Moisson to Metro inc.

  • Participation in the Logibec inc. purchase of ReaEvolution inc., a technology solution provider to health organisations.

  • Participation in due diligence with acquisitions of companies operating commercial and industrial activities listed in Annex III of the Regulation on the protection and rehabilitation of land where the activities were carried out on contaminated land.

  • Participation in the acquisition of subsidiaries by executives (CVTech-IBC inc., CVTech-AAB inc. And CVTech R & D inc.) of a public company in the field of machining of engines and transmissions for recreational vehicles and automobiles.

  • Participation in the acquisition and financing of several companies and industrial cleaning services of septic tanks with a large fleet of heavy trucks and the acquisition of a landfill construction debris and demolition (Due diligence and drafting of various contracts relating to the purchase of shares or assets of companies).

  • Member of the team representing Bertrand Management and Brothers inc. when selling the company Colabor Entities - This transaction won the 2008-Mid-Market Award from Canadian Dealmakers.

  • Participation in the purchase of an industrial cleaning service and septic tank emptying company and the purchase of a landfill with construction and demolition debris.

  • Member of the team representing Gestion Bertrand et Frères inc. during the sale of the company to Colabor Entities – This transaction won the 2008-Mid-Market Award awarded by Canadian Dealmakers.

Involvement

  • Actively involved in organizing recruitment activities for future BCF articling students;

  • Expert in residence and instructor at LE CAMP incubator for technology companies in Québec City;

  • A member of juries in university courses and contests involving the preparation of business plans for business start-ups.
