BCF Acts as Counsel to JB Poindexter & Co. in Strategic Acquisition of Demers, Ambulance Manufacturer Inc.

BCF Business Law is proud to have acted as legal counsel to J.B. Poindexter & Co., Inc. (JBPCO) and its subsidiaries in connection with the acquisition of Demers, Ambulance Manufacturer Inc. and its subsidiaries, collectively known as Demers Braun Crestline Medix (DBCM).

This transaction marks a major milestone in the evolution of JBPCO’s platform, significantly expanding its reach with this acquisition in the emergency vehicle sector and reinforcing its role as a cornerstone in North America’s commercial and specialty vehicle manufacturing industry.

A Strategic Combination of Industry Leaders in the Emergency Vehicle Sector

Headquartered in Beloeil, Quebec, DBCM is one of North America’s largest ambulance manufacturers, operating across both Canadian and U.S. markets. With four highly respected brands—Demers, Braun, Crestline, and Medix—DBCM is renowned for its paramedic-driven design, innovation in emergency vehicle safety, and global sales performance. The group has delivered over 70,000 units in more than 40 countries and employs more than 1,500 team members.

JBPCO, a privately held company headquartered in Houston, Texas, brings together a portfolio of manufacturing leaders serving a range of commercial and industrial transportation needs. With this acquisition, JBPCO’s total annual revenue is expected to reach $3 billion, reinforcing its position as a cornerstone in the commercial and specialty vehicle manufacturing sector—from last-mile delivery and work trucks to emergency response vehicles—while growing its workforce to over 10,000 employees across North America.

“Our acquisition of DBCM aligns with JBPCO’s long-term vision—building a platform of industry-leading companies with a shared commitment to quality, innovation, and customer service” said John Poindexter, CEO and Chairman of JBPCO. “We are excited to support DBCM’s continued growth and to leverage the synergies across our network.”

BCF’s Role and Cross-Border Capabilities

BCF’s multidisciplinary M&A team led by Sabrina Brosseau-Malo, partner in BCF’s Business Law group, also composed of Laurence Babin, Gabriel Dubois (M&A), Marc-André Godard (Tax), Richard Epstein, Jean-Pierre Katcho (Competition Law), Eleonora Eusepi, Marc-Etienne Brunet (Banking), Alessia Talarico (Real Estate) and Catia Veglia (Corporate) provided strategic legal guidance throughout the transaction.

Unlocking New Potential for the Emergency Vehicle Sector

With the support of JBPCO, Demers will continue to operate with brand autonomy while gaining access to greater resources, shared technological platforms, and operational scale. The integration is expected to unlock new innovation pathways and broaden DBCM’s ability to serve first responders and emergency service providers across North America and beyond.

“This is a landmark moment for our company and our team,” said Alain Brunelle, CEO of DBCM. “Joining JBPCO gives us the foundation to accelerate our mission to improve lives—one relationship and one vehicle at a time.”
