Marianne Richer-Laflèche is a lawyer at BCF Montréal office. She focuses her practice on mergers and acquisitions, investment funds, corporate governance and commercial contract drafting. Prior to joining BCF, Marianne worked at another major Canadian law firm, where she was seconded on two occasions to clients in the financial services and consulting engineering sectors. She joined the firm in the fall of 2021 to explore other areas of her practice.

Marianne assists clients with corporate incorporation and organization, the drafting of commercial contracts and shareholder agreements, transactional support and the drafting of complex partnership agreements and profit-sharing plans. She also handles lobbying matters in the province of Québec and an array of other legal needs.

Marianne is a graduate of Université Laval, where she distinguished herself as a participant, organizer, and academic leader of several international diplomatic simulations, which have taken her to competitions in Canada, the United States, France, the Czech Republic and the Netherlands. She has acted as director and corporate secretary for several organizations, including the Fondation du Collège Jésus-Marie de Sillery, Prima Danse Events, Théâtre Lirychorégra 20 and is currently a member of the board of directors of the École des entrepreneurs du Québec.

  • Acted on behalf of a private equity fund in the acquisition of a Québec leader in the design and manufacture of high-efficiency recovery, heating and ventilation systems;
  • Acted on behalf of ANGUS Capital Inc. a private equity fund specializing in the acquisition of Quebec-based SMEs in traditional sectors, in its acquisition of Groupe Alpha-Vico, Quebec's only manufacturer of school furniture and one of Canada's industry leaders;
  • Acted on behalf of the shareholders of Accès Location d'équipements Inc. in the sale of its shares to an affiliate of Groupe Lou-Tec Inc;
  • Acted on behalf of Profecta Labels Inc. in the sale of its shares to Fortis Solutions Group;
  • Acted on behalf of Ducore Health Group Inc. in the sale of its assets to an affiliate of ExamWorks Canada, Inc;
