Luka Pavlović is an associate in BCF’s Business Law Group. Drawing on his dual business and legal educations, Luka efficiently executes complex legal transactions to achieve and exceed our clients’ strategic and financial objectives. His practice focuses on mergers and acquisitions, corporate law, private equity, public contracting, and business law. A thoughtful communicator and experienced negotiator, he is sought out by our clients for his detail-oriented and pragmatic legal advice.

With over 7 years’ experience, Mr. Pavlović began his career at a national Canadian law firm where he worked on private mergers and acquisitions, and banking and real estate transactions. Most recently, prior to joining BCF, Luka acted as senior legal counsel at GDI Integrated Facility Services Inc., a leading North American commercial facility services provider whose shares are listed on the Toronto Stock Exchange (TSX). With his combined private practice and in-house counsel experience, Luka is uniquely positioned to appreciate and anticipate our clients’ operational challenges and business realities. His broad perspective allows him to devise and implement bespoke, cost-effective and value-added legal solutions to realize our clients’ most complex business objectives.

  • Acted on behalf of Epitopea Inc., a Canadian corporation, and Epitopea Limited, a U.K. corporation, in connection with the USD$31M (£24M) cross-border, pre-Series-A preferred share extension financing round of these companies, with an exchangeable share structure, led by a syndicate of international investors including Advent Life Sciences, CTI Life Sciences, Cambridge Innovation Capital (CIC), Fonds de solidarité des travailleurs et des travailleuses du Québec (FTQ), Investissement Québec, adMare BioInnovations (NEOMED Institute) and IRICoR. These companies are transatlantic biopharmaceutical company specializing in the development of off-the-shelf RNA-based cancer immunotherapeutics;
  • Acted on behalf of the shareholders of Armoires Cuisines Action in connection with its sale and partnership with an investor group led by Champlain Financial Corporation;
  • Sale of a Québec-based telecommunications company to a leading telecommunications operator;
  • CTI Life Sciences Fund III L.P., 3B Future Health Fund and Panacea Venture Health Care Fund II, L.P., as lead investors, in connection with (a) the €39M cross-border, multi-tranche, Series A preferred share financing round of Domain Therapeutics S.A., a Paris-based biopharmaceutical company specializing in the research and development of innovative immuno-oncology drugs, and (b) the creation and financing of a Canadian operating subsidiary;
  • Acquisition of Voortman Cookies, a premier manufacturer and marketer of cookies and wafers, by Swander Pace Capital;
  • Acquisition from Torstar Corporation of Harlequin Enterprises Limited by HarperCollins Publishers, a subsidiary of News Corp., for approximately C$455M;
  • Sale of Monarch Corporation, its Canadian operations, by a subsidiary of Taylor Morrison Home Corporation to an affiliate of Mattamy Homes Limited for approximately C$330M;
  • Various transactions for GDI Integrated Facility Services Inc., including the issuance and redemption of C$28.5M in convertible debentures on the Toronto Stock Exchange, multiple M&A transactions in Canada and the U.S., commercial contracts with vendors and clients, commercial leases and varied corporate transactions;
  • Acquisition of LVM Inc. by EnGlobe Corp. in a transaction led by ONCAP Management Partners;
  • Acquisition of Axion Technologies Ltd. by Luminator Technology Group, a portfolio company of Audax Group, a U.S. private equity firm.
