Luka Pavlović is a seasoned transactional lawyer and partner in BCF's Business Law Group, with a practice covering mergers and acquisitions, private equity, corporate finance and securities, investment and venture capital, commercial contracts, and general business law.

Since 2014, Luka has represented a broad range of clients across complex domestic and cross-border transactions, including participants throughout the private equity ecosystem, from sponsors and funds to portfolio companies and management teams. His practice is industry-agnostic, having acted for clients operating in maritime and infrastructure services, life sciences and biopharmaceuticals, engineering and environmental consulting, food manufacturing, media and publishing, real estate, telecommunications, information technology, specialty chemicals and facility services.

Before joining BCF in 2021, Luka served as Senior Legal Counsel at GDI Integrated Facility Services Inc. (then TSX-listed), where he managed corporate transactions and securities law matters, supported operations and sales teams, and helped implement strategic initiatives. He started his career at a large national Canadian law firm, executing private M&A and real estate and banking transactions.

Trained in both business and law, Luka quickly grasps the commercial realities behind every transaction and negotiates with rigour and precision to achieve his clients' objectives.

Acted on behalf of Groupe Océan, a leader in Quebec's maritime industry, in a major business transfer process involving a $145 million investment by the Quebec government and Investissement Québec, as well as support from La Caisse de dépôt et placement du Québec, all of which contributed to the sustainability of a Quebec flagship and sustainable economic benefits for Quebec.

Acted on behalf of Epitopea, a transatlantic cancer immunotherapeutics company, in the negotiation and entering into of a license and research collaboration agreement with Merck & Co., Inc., to identify CryptigenTM tumor-specific antigens. Under the terms of the agreement, Merck has an exclusive option to develop and commercialize therapeutics derived from the collaboration;

Acted as counsel to the shareholders of Groupe ABS Inc. and its subsidiaries, a Quebec-based consulting engineering firm offering services in materials monitoring and engineering, metallurgy, geotechnics, environment, geophysics, building science and rock mechanics, in the sale of the majority of their shares to Groupe Ginger, a French company specializing in engineering;

Acted on behalf of Epitopea Inc., a Canadian corporation, and Epitopea Limited, a U.K. corporation, in connection with the USD$31M (£24M) cross-border, pre-Series-A preferred share extension financing round of these companies, with an exchangeable share structure, led by a syndicate of international investors including Advent Life Sciences, CTI Life Sciences, Cambridge Innovation Capital (CIC), Fonds de solidarité des travailleurs et des travailleuses du Québec (FTQ), Investissement Québec, adMare BioInnovations (NEOMED Institute) and IRICoR. These companies are transatlantic biopharmaceutical company specializing in the development of off-the-shelf RNA-based cancer immunotherapeutics;

Acted on behalf of the shareholders of Armoires Cuisines Action in connection with its sale and partnership with an investor group led by Champlain Financial Corporation;

Sale of a Québec-based telecommunications company to a leading telecommunications operator;

CTI Life Sciences Fund III L.P., 3B Future Health Fund and Panacea Venture Health Care Fund II, L.P., as lead investors, in connection with (a) the €39M cross-border, multi-tranche, Series A preferred share financing round of Domain Therapeutics S.A., a Paris-based biopharmaceutical company specializing in the research and development of innovative immuno-oncology drugs, and (b) the creation and financing of a Canadian operating subsidiary;

Acquisition of Voortman Cookies, a premier manufacturer and marketer of cookies and wafers, by Swander Pace Capital;

Acquisition from Torstar Corporation of Harlequin Enterprises Limited by HarperCollins Publishers, a subsidiary of News Corp., for approximately C$455M;

Sale of Monarch Corporation, its Canadian operations, by a subsidiary of Taylor Morrison Home Corporation to an affiliate of Mattamy Homes Limited for approximately C$330M;

Various transactions for GDI Integrated Facility Services Inc., including the issuance and redemption of C$28.5M in convertible debentures on the Toronto Stock Exchange, multiple M&A transactions in Canada and the U.S., commercial contracts with vendors and clients, commercial leases and varied corporate transactions;

Acquisition of LVM Inc. by EnGlobe Corp. in a transaction led by ONCAP Management Partners;

Acquisition of Axion Technologies Ltd. by Luminator Technology Group, a portfolio company of Audax Group, a U.S. private equity firm.
