Jinelle Salloum is a lawyer in our Montréal office in the Business Law, Mergers and Acquisitions Group and in the Corporate Finance, Banking and Securities Group. She has developed a hybrid practice, both in mergers and acquisitions and banking and financing law.

Jinelle represents a diverse range of clients, including chartered banks, private lenders, and other Canadian financial institutions, as well as corporate borrowers in financing transactions, including business, asset and real estate acquisitions. She also assists private companies and entrepreneurs with various stages of their merger and acquisition projects, including incorporation, corporate organization and drafting of commercial contracts.

Resourceful and proactive, Jinelle knows how to easily navigate complex situations, adapting quickly to the challenges that arise. Her strategic approach and commitment to excellence enable her to build solid relationships with her clients, whom she supports with professionalism and diligence. Her passion for the law and determination make her a valuable asset to her team and clients.

Jinelle joined BCF as a law student in 2022 and, after successfully completing her articling with the firm, pursued her career as a lawyer. She holds an MBA and a law degree from the Université de Sherbrooke. During her undergraduate studies, Jinelle was named to the Dean's Honour List in 2020, 2021 and 2023, in recognition of her academic excellence.

  • Acted as counsel to the shareholders of Groupe ABS Inc. and its subsidiaries, a Quebec-based consulting engineering firm offering services in materials monitoring and engineering, metallurgy, geotechnics, environment, geophysics, building science and rock mechanics, in the sale of the majority of their shares to Groupe Ginger, a French company specializing in engineering;
  • Acted on behalf of Corbec Group in connection with the formation of a joint venture with Fabrimet Group for the acquisition of the shares of Galvanisation Quebec Inc. and the construction and operation of a hot dip galvanizing plant in Quebec;
  • Acted on behalf of Groupe Champagne, a door and window sales and installation company, in its acquisition of the assets of A&D Prévost, a company specializing in architectural aluminum systems, in the context of an investment solicitation and sale process implemented by Restructuration Deloitte Inc. following the filing of a notice of intention by A&D Prévost, under the Bankruptcy and Insolvency Act;
  • Acted on behalf of Epitopea Inc., a Canadian corporation, and Epitopea Limited, a U.K. corporation, in connection with the US$31M (£24M) cross-border, pre-Series-A preferred share extension financing round of these companies, with an exchangeable share structure, led by a syndicate of international investors including Advent Life Sciences, CTI Life Sciences, Cambridge Innovation Capital (CIC), Fonds de solidarité des travailleurs et des travailleuses du Québec (FTQ), Investissement Québec, adMare BioInnovations (NEOMED Institute) and IRICoR. These companies are transatlantic biopharmaceutical companies specializing in the development of off-the-shelf RNA-based cancer immunotherapeutics;
  • Regularly represents a federal government body in arranging construction financing for large-scale residential projects;
  • Acted on behalf of Renaud-Bray in its acquisition of Omer DeSerres, Lamarche Importation and Cadres Verbec, corporations specialized in the retail of art, leisure and office supplies, and offering framing and laminating services;
  • Acted on behalf of Walter Capital Partners Inc, a private equity firm and part of the Walter Group, in its acquisition of Martins Industries, a leading global manufacturer and supplier of tire and wheel equipment and supplies.
