François-Alexandre Marois is a lawyer in BCF’s Business Law group in Montréal. His practice focuses on mergers and acquisitions, securities, as well as commercial and corporate law. He advises clients at every stage of complex private and public M&A transactions, both on a national and cross-border basis. He also dedicates a portion of his practice to the drafting and negotiation of commercial contracts and provides guidance on routine corporate law matters.
François-Alexandre acts on behalf of brokers and issuers of all sizes in private and public placements of debt and equity securities. He also acts for emerging companies in reverse takeovers and listing transactions on the TSX Venture Exchange and the Canadian Securities Exchange. Additionally, he advises publicly traded companies across various industries on a wide range of matters related to securities law, including continuous and timely disclosure obligations, corporate governance, compliance with stock exchange rules, shareholder meetings, as well as filings and interactions with securities regulatory authorities.
François-Alexandre holds a law degree from Université Laval, where his outstanding academic performance earned him a place on the Faculty of Law Honour Roll. During his studies, he also served as a legal research assistant to the Honourable Simon Ruel at the Court of Appeal of Québec. His strong interest in finance led him to complete a Master of Business Administration (Global Business), providing him with a solid understanding of business issues, the ability to identify key challenges, and the capacity to develop strategic and forward-looking solutions.
