Charles-Antoine Dorion is a partner in the Business Law Group and practises primarily in the areas of mergers and acquisitions and private equity. His experience in conducting large-scale transactions has made him a precious asset to clients in the management of their largest and most complex transactions.
Over the years, Charles-Antoine has developed great versatility in many areas of business law. His diverse skill sets have enabled him to assist clients effectively in transactions and operations in wide-ranging sectors, including financial services, technology, natural resources, agriculture, automobile dealerships, agri-food, and manufacturing.
He is able to act on behalf of either buy-side or sell-side clients. He assists shareholders and managers with the sale of their companies and helps private companies raise private equity and venture capital. On the buy side, he acts on behalf of strategic and financial buyers, including investment funds, in the purchase or acquisition of stakes in private companies, including management buy-outs.
In transaction management, Charles-Antoine focuses tirelessly on client service, ensuring that client preferences, communication styles, and expectations are satisfied. He has written and published several articles on best practices in project management for mergers and acquisitions.

Mergers and acquisitions
- Acted on behalf of shareholders in the sale of their shares in Location Kiroule to Location Sauvageau.
- Acted on behalf of Desjardins Automotive Group in its acquisition, by way of share and asset purchase, of the Samatas Group car dealerships in and around Montréal.
- Acted on behalf of the shareholders of Moment Zero, a Québec-based company specializing in marketing reporting solutions, upon its acquisition by saas.group.
Private equity
- Acted on behalf of Norea Capital, an independent private equity manager in the context of its acquistion of an equity stake of more than 40% in the capital of Groupe Beaubois inc., one of the North American market leaders in high-end, complex, and large-scale architectural woodworking projects;
- Acted on behalf of Norea Capital in private equity investments as part of a management buy-out.
- Acted on behalf of Investissement Québec in its acquisition of a minority interest in QScale, a company specializing in the design, construction, operation, and management of high-density data-processing centres.
- Acted on behalf of Caisse de dépôt et placement du Québec in its strategic investment in Vooban, a company recognized as Québec’s leader in applied artificial intelligence services.
- Acted on behalf of Fondaction in its acquisition of a minority stake in Groupe Optel, a company that provides a broad range of industries with traceability, tracking, and vision systems.
- Represented Fonds de solidarité FTQ in its investment in Réparations ferroviaires K.L.N., a company offering railroad inspection, maintenance and repair services, as part of a management buyout.
- Acted on behalf of shareholders of start-up life-sciences and biotechnology companies in private equity and venture capital transactions.
