Jyoti Chakraborty focuses her practice on commercial law, particularly in intellectual property transactions and commercial agreements. She holds degrees in both civil and common law, and has been called to the Barreau du Québec and the Law Society of Ontario. Her extensive legal training provides her with a solid foundation to advise clients on various cross-border matters.

Jyoti has experience both in-house and in private practice. Prior to joining BCF, Jyoti served as in-house counsel to Canada’s largest franchisor and later joined one of Canada’s leading intellectual property firms. Having accrued in house and private law experience early in her career, she has developed the tools required to provide businesses with legal support that is adapted to their reality and ecosystem.

Although a large part of Jyoti’s practice remains IP/technology focused, her current role includes more general commercial matters. She currently works closely with her colleagues and the firm’s clients on various corporate and commercial matters including: drafting and negotiating various commercial agreements (ex. distribution and supply agreements), M&A transactions (both buy and sell side), joint ventures, privacy-related matters, governmental bids (RFPs), financing deals for tech companies, collaboration agreements (for private and public institutions), and support with process implementation.

She prides herself on having become an essential link between the firm and its clients. Due to her understanding of a client’s business and needs, she is able to quickly mobilize and manage the firm’s internal resources to ensure that the client receives the necessary support and resolutions in a timely manner.

  • Acted on behalf of Epitopea Inc., a Canadian corporation, and Epitopea Limited, a U.K. corporation, in connection with the USD$31M (£24M) cross-border, pre-Series-A preferred share extension financing round of these companies, with an exchangeable share structure, led by a syndicate of international investors including Advent Life Sciences, CTI Life Sciences, Cambridge Innovation Capital (CIC), Fonds de solidarité des travailleurs et des travailleuses du Québec (FTQ), Investissement Québec, adMare BioInnovations (NEOMED Institute) and IRICoR. These companies are transatlantic biopharmaceutical company specializing in the development of off-the-shelf RNA-based cancer immunotherapeutics.
