Eleonora Eusepi is a partner practising in the Real Estate Law and Business Law groups at BCF.

She regularly acts on behalf of major real estate investment trusts, private investors, lessors and lessees in transactions involving the transfer, development, management and leasing of industrial, residential, office and mixed-use commercial properties. Eleonora also assists chartered banks, financial institutions, private lenders and borrowers in arranging complex financings, including business acquisition financing, asset financing, real estate financing, equipment financing and aircraft financing.

Eleonora is known for being a pragmatic and trusted legal advisor, with the ability to assist her clients in complex transactional and commercial matters. The quality of her work and the depth of her proficiency have been recognized by her peers in the Best Lawyers (Ones to watch) ranking of Canada's top real estate and banking & finance lawyers.

She is fluent in English and French, and speaks and writes Italian, Spanish and Creole. She also has a good knowledge of German.

Acted on behalf of Allied Properties Real Estate Investment Trust in connection with various major acquisition and disposition transactions throughout 2025.

Acted on behalf of a federal government agency on a regular basis in the implementation of construction financing for large-scale residential projects ranging from $50 million to $300 million.

Acted on behalf of Paiements PayFacto Inc. in connection with an equity investment of up to CAD $150 million by private equity firm Flexpoint Ford and BMO Partners.

Acted on behalf of Groupe Océan, a leader in Quebec's maritime industry, in a major business transfer process involving a $145 million investment by the Quebec government and Investissement Québec, as well as support from La Caisse de dépôt et placement du Québec, all of which contributed to the sustainability of a Quebec flagship and sustainable economic benefits for Quebec.

Acted on behalf of Johal Holdings Inc. in connection with the acquisition of Industries Unicor Inc., a Québec-based company specializing in injection molding with an international presence in precision manufacturing across the industrial, automotive, medical sectors, and more. This transaction will enable Industries Unicor Inc. to accelerate its modernization, increase its production capacity, and invest further in local talent development, technology, and sustainable manufacturing practices.

Acted as counsel of Interstar Materials inc., a privately held Quebec-based company specialized in the manufacturing of pigments, admixtures, and fibers for concrete, in connection with the sale of its Canadian and American assets to Saint-Gobain. Through this transaction, Interstar joins a global group that shares its values, while ensuring the continuity of its operations and the growth of its business;

Acted as counsel of JB Poindexter & Co and its subsidiaries, a US privately held, vehicles, related components and equipment manufacturing company, as part of its acquisition of Demers Ambulance Manufacturer Inc. and its subsidiaries (Medix, Braun Industries, Crestline). JBPCO’s total revenue will reach $3 billion with this acquisition, reinforcing its role as a cornerstone in the commercial and specialty vehicle manufacturing space;

Acted on behalf of Sandibe Global B.V., a Dutch company specialized in the leisure industry, and more specifically in global-scale tourist attractions, in the context of the sale of all of the shares of Les Holdings La Grande Roue de Montréal Inc., which owns and operates the Montreal ferris wheel, an iconic site in the Old Port of Montreal;

She regularly acts on behalf of a federal government agency in setting up construction financing for major residential projects

She has led the team that acted on behalf of Allied Properties Real Estate Investment Trust in the acquisition of portions of the Complexe Gare Viger

Acted on behalf of Damotech, one of North America's leading specialists in pallet racking safety, in the investment by Mountaingate Capital, a Denver-based private equity firm, to support its growth in Canada and the United States

She was part of the team acting for CIRION BioPharma Research Inc. and its shareholders in connection with its acquisition by Cerba HealthCare

She was part of the team acting for Québec counsel Allied Properties Real Estate Investment Trust in its acquisition from Choice Properties Real Estate Investment Trust of a Canadian office and retail portfolio consisting of six properties

She was part of the team acting for Sika, a global manufacturer of specialty construction products, in its acquisition of Sable Marco Inc.

She was part of the team acting for Epsilyte Holdings LLC, a leading provider of advanced materials, in its acquisition of StyroChem Canada, Ltd.

She was part of the team acting on behalf of PayFacto Payments Inc. in the equity investment of up to C$150 million led by private equity firm Flexpoint Ford with participation from BMO Capital Partners

She was part of the team acting for a large telecommunications company in the context of the financing of its operations by Bank of Montreal, as administrative agent

She was part of the team acting for Urecon Ltd. in the sale of 49% of its shares to GF Piping Systems, a division of George Fisher AG

She was part of the team acting for Urecon Ltd. and its management in the acquisition of its majority shareholder, Capital Régional et Coopératif Desjardins

She was part of the team acting for Investment Québec in its acquisition of some assets in Sept-Îles, of which a railway

She was part of the team acting for Investissement Québec as part of the granting of a loan to Nexolia Bioénergie to purchase Fortress Paper plant’s industrial site in Lebel-sur-Quévillon
