Incorporation
Launching a business and choosing its legal structure are critical decisions likely to raise many legal issues. At BCF, we accompany you through this process, regardless of whether you are setting up your first business or are an experienced entrepreneur. Incorporation is one of the first steps and our team can assist you in determining the most appropriate legal structure to adopt based on your business goals and issues. We can also help you comply with the Quebec Business Corporations Act and the Canada Business Corporations Act by implementing the following steps:
- Preparing the incorporation documents, including a description of the share capital;
- Preparing the general by-laws and organizational resolutions;
- Preparing and filing the declaration of registration or initial declaration (depending on the jurisdiction).
Annual Updates
Following the incorporation of your business, our professionals ensure that it remains up-to-date with the government authorities and therefore in good standing under the law.
The annual filing for a business incorporated under the Quebec Business Corporations Act or the Canada Business Corporations Act includes: preparing resolutions in lieu of annual meetings and, if applicable, preparing a resolution for declaring dividends. Our team can support you in preparing these documents, and in issuing other documents essential to your corporation’s annual filing, such as the annual declaration at the provincial level and the annual return at the federal level.
Agent, Head Office and Registration
Is your head office outside of Quebec, but you carry on operations within the province? BCF acts as local agent for many businesses, many of which also have a head office at our address. We prepare and file the documents required for these businesses, such as their annual declaration and annual return.
Corporate Reorganization
Since its inception, BCF has steered many corporate reorganizations, both large and small. In addition to incorporations, discussed above, we can also help you to simplify your corporate structure, either by merging several of your entities or by winding up and dissolving entities that are no longer needed.
In collaboration with our tax team, we can also ensure that the new structure selected is the most effective from a tax perspective, either by setting up a trust or a holding company, or even by creating share capital specifically adapted to your needs.
