Our team
Our strategic banking and finance team has considerable experience in implementing and negotiating all types of complex financing transactions. Our expertise is solicited in both local and cross-border transactions by financial institutions and corporate borrowers.

Commercial Lending Transactions
Commercial lending transactions are at the heart of our banking and finance practice. BCF has a vast range of experience in transactions involving all types of assets which borrowers use as collateral, including accounts receivable, inventory, equipment, real estate, securities and intellectual property rights and other intangibles.
Syndicated Lending and Participations
Our team also has extensive experience representing agent banks in syndicated credit facilities. We also represent participants in the secondary loan market and our lawyers also understand the issues surrounding assignments of loans.
Asset-Based Lending and Factoring
BCF has considerable expertise in asset-based lending and factoring, ideally suited for high-growth companies, businesses in transition, and companies considering a merger or acquisition or involved in a share redemption. We also represent lenders and borrowers in loan origination work and in insolvency and turnaround matters.
Equipment Leasing
Equipment leasing transactions are a significant element of BCF’s banking and finance practice. Our finance lawyers represent lessors, lessees and other stakeholders in leasing transactions involving various types of assets, including machinery, aircraft and rolling stock.
Mezzanine and Venture Capital Financing
Mezzanine and venture capital financing has grown substantially in recent years. Our finance lawyers are well-versed in the myriad of complex issues particular to this type of financing, from inter-creditor agreement negotiations to matters that arise in connection with a mezzanine lender’s equity-linked investment.
Real Estate Financing
Drawing upon the resources of our commercial real estate practice group, we routinely represent banks, REITs, foreign lenders and other financial institutions in complex real estate transactions. Also, BCF has extensive experience in all aspects of construction and mortgage finance. We have been retained in numerous financings for the hospitality, cable distribution, entertainment, and commercial real estate sectors.
Financing and taking of security in Insolvency Matters (DIP)
Insolvent companies sometimes lack the liquidity required to overcome difficult periods. Obtaining a loan and granting security in such a context is a delicate matter and our team can propose customized solutions, from forbearance agreements to the granting of court-approved first-ranking interim financing under insolvency legislation.
Securitization
Our banking and finance lawyers regularly act on behalf of lenders and borrowers in implementating, negotiating and publishing of documentation related to asset securitizations including lease receivables, installment receivables, commercial and residential real estate loans, commercial loans, credit cards and other types of asset pools.
