Professional background

Jean-François Hudon is a partner at BCF specializing in banking law and real estate law. He also has significant experience with respect to the sale and purchase of assets and businesses, as well as in business, commercial and corporate law.

Before going into private practice, Mr. Hudon was assistant director of the legal department of the National Bank of Canada from 1970 to 1980.

• Canadian counsel to an American Real Estate Investment Trust (REIT) with respect to the acquisition of a luxury hotel in Montreal for Cdn$68,500,000, as well as for its subsequent financing.

• Counsel to a religious congregation for the sale and lease-back of its principal real property for Cdn$18,000,000 and for the negotiation of a lease for its company thereafter.

• Lead counsel to a Canadian federal financial institution with respect to subordinate financing to small and mid-size businesses.

• Lead counsel to the technology group of a Schedule 1 Canadian chartered bank with respect to the financing of various business loans and loans associated with R&D tax credits.

• Lead counsel to various Schedule I chartered banks in connection with operating credit facilities ranging from Cdn$1,000,000 to Cdn$20,000,000, including the taking of security in foreign jurisdictions, as well as real estate loans for condominiums and retirement homes.

• Counsel to a pharmaceutical company for the negotiation and the granting of security for a loan of Cdn$10,000,000 by a provincial governmental financial agency.

• Counsel to a group of Canadian insurance companies with respect to the financing of an office building in the amount of Cdn$20,000,000.

• Counsel to a real estate developer in connection with the acquisition and financing of approximately 2,500,000 square feet of land for residential development.

• Quebec counsel to a major automobile manufacturer with respect to its commercial relations with retailers.

• Counsel to a franchising group involved in the selling of eyeglasses and related products at the time of renewal of its franchise agreement with its franchisees.
